Portal User Terms and Conditions ("Portal User Terms")
Introduction
As provided for under the Gambling Regulation Act 2024, (the “Act”) Údarás Rialála Cearrbhachais na hÉireann or the Gambling Regulatory Authority of Ireland (the “GRAI”) was established on 5th March 2025 for the purposes of licensing and regulating gambling providers in Ireland.
The GRAI will be assessing licences in accordance with our technology-first approach.
The purpose of this GRAI Portal (the "Portal") is to allow users to access the Portal for the purposes of the application for, and continued management of gambling licences with the GRAI. By accessing or using the Portal, you agree to be bound by the Portal User Terms.
Acceptance
The Portal User Terms govern your access to and use of the Portal.
When used in these Portal User Terms, “we”, “us” and “our” refers to the GRAI. “You” and “your” refers collectively to (a) you as the user of the Portal as well as (b) Your Company as defined below (where applicable).
To use the Portal, you must agree to these Portal User Terms on behalf of both you and, where appliable, the company or other legal entity that you work for or represent as a partner, principal, director, employee, contractor or equivalent (collectively, “Your Company”). Thereafter, these Portal User Terms will be a legally binding agreement between (i) you and Your Company collectively on the one hand, and (ii) us on the other hand, each being ‘a party’ and together being ‘the parties’).
BY PROCEEDING HEREAFTER TO USE THE PORTAL, YOU ARE DEEMED TO HAVE ACCEPTED THESE PORTAL USER TERMS WHICH WILL BIND YOU AND YOUR COMPANY.
IF YOU DO NOT AGREE TO THESE PORTAL USER TERMS, YOU MUST NOT ACCESS THE PORTAL, AND YOU MUST EXIT IMMEDIATELY.
Definitions
3.1 The following expressions shall have the following meanings:
"Applicable Third Party Provider" means any third party provider of services to the GRAI;
"Destructive Elements" means any software programme, code or equivalent intended to destroy, interfere with, corrupt or have a disruptive effect of any other form on programme files, data or other information, executable code or application software macros;
"Information" means all documents, information and assistance, including personal data, IT systems and infrastructure that (i) we may require, or (ii) we or you otherwise exchange for our activities together;
"Portal" means the virtual facility (whether a portal, platform or otherwise) currently primarily designed as a mechanism to apply for and manage gambling licences with the GRAI;
"Your Users" means an individual granted access to the Portal by you or on your request
3.2 We may revise these Portal User Terms at any time at our sole discretion, in accordance with the notice provisions of these Portal User Terms. You are responsible for being aware of any such revised Portal User Terms by reading these notices. If you do not agree with the revised Portal User Terms, then you are not permitted to access the Portal and should cease using it immediately.
3.3 You confirm that in proceeding to use the Portal you are authorised to enter into these Portal User Terms on behalf of Your Company.
Your Obligations:
4.1 You shall:
4.1.1 comply with, and ensure Your Users comply with these Portal User Terms;
4.1.2 maintain, and procure that Your Users maintain, appropriate technology to access the Portal;
4.1.3 not upload to the Portal any Information that is unlawful or that could be reasonably viewed as false, offensive, indecent, libellous, defamatory or obscene or that contains any Destructive Elements;
4.1.4 ensure that any provision of Information by you onto the Portal is in accordance with applicable law;
4.1.5 not, nor attempt to: (i) alter or modify any part of the Portal in any way, (ii) decompile, disassemble, reproduce or reverse engineer the Portal, (iii) combine the Portal with any other software programme, or (iv) make any attempt to unlock or bypass any initialisation system or encryption technique utilised in the Portal;
4.1.6 ensure that the provision of Information onto the Portal by you has been appropriately authorised;
4.1.7 decide who Your Users are from time to time and promptly remove access on the termination of employment or other work relationship of any of Your Users with you or where that individual otherwise no longer needs access (as applicable). In any case you shall ensure that that individual immediately ceases all use of the Portal whether or not their access rights have been removed;
4.1.8 ensure that none of Your Users engages in any activity that directly or indirectly interferes with the functionality of the Portal, including, spamming and the distribution of computer viruses or other malicious code (including Destructive Elements);
4.1.9 notify us in accordance with these Portal User Terms immediately upon becoming aware of any breach of the above obligations, including any unauthorised access to the Portal;
4.2 You shall be responsible for (i) the operation, performance and security of your equipment, networks and other computing resources used to connect to the Portal (ii) ensuring Your Users exit or log off from the Portal at the end of each session, and (iii) managing the confidentiality of Your Users’ IDs, passwords and/or personal identification numbers used in conjunction with the Portal.
Intellectual Property
There shall be no transfer or assignment of any intellectual property rights concerning the Portal by virtue of these Portal User Terms other than the right to use the Portal in accordance with these Portal User Terms. All intellectual property rights relating to the Portal are owned by us or by an Applicable Third Party Provider.
Cookies and Privacy
6.1 The Portal uses Cookies to enhance user experience and to analyse performance and traffic on it. Any Applicable Third-Party Provider may use Cookies too. By using the Portal, you consent to the use of Cookies in accordance with our Cookie Policy, which is available here. You can manage your Cookies preferences through your browser settings. “Cookies” are small pieces of data sent from the relevant site and stored on the user's computer by the user's web browser while the user is browsing.
6.2 Your use of the Portal is governed by our Privacy Notice, which sets out how we collect, use and protect your personal data. The Privacy Notice is available here
Security
In connection with your use of the Portal, we will implement reasonable and appropriate measures designed to help your secure your content against accidental or unlawful loss, access or disclosure.
Liability concerning the Portal
8.1 Notwithstanding any other clause of these Portal User Terms, to the maximum extent allowed by applicable law we do not give any warranty, condition, undertaking or term, express or implied, statutory or otherwise, as to the condition, security, performance, availability, satisfactory quality or fitness for purpose of the Portal or of any Applicable Third Party Provider services or licenses.
8.2 Our maximum liability to you in aggregate total for all claims concerning these Portal User Terms shall be limited to €1.00 (one euro).
Disclaimer
Except as expressly provided here, we make no warranty of any kind, whether express, implied, statutory or otherwise and we specifically disclaim all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement, to the maximum extent permitted by applicable law, and all services are provided "as-is" and as available exclusive of any warranty whatsoever.
Notices
10.1 Any notice from us to you regarding these Portal User Terms may be made by any of the following methods: (i) a general posting or notice to users on the Portal; (ii) any communicative function available through your account; or (iii) any email address associated with your account (and for which you are responsible for keeping accurate).
10.2 Any notice from you to us regarding these Portal User Terms must be sent to us at: licensing@grai.ie.
Suspension and Termination
11.1 If you breach your obligations in Clause 4 we may on becoming aware thereof at any time on giving notice immediately suspend your access to the Portal.
11.2 These Portal User Terms, including access to the Portal, can be terminated by us immediately if you commit a material breach of any provisions of these Portal User Terms which breach is irremediable or, if such breach is remediable, If you fail to remedy that breach within a period of fifteen (15) days after being notified in writing to do so.
11.3 We reserve the right to make changes to the Portal or any aspect of the Portal from time to time
General Indemnification
You will defend, indemnify, and hold harmless us, our affiliates and Applicable Third Party Providers, and each of their respective employees, officers, directors, and representatives from and against any losses arising out of or relating to any third-party claim concerning: (a) your or any of Your Users' use of the Portal; (b) breach of these Terms or violation of applicable law by you or Your Users.
Jurisdiction
These Portal User Terms will be governed by and construed in accordance with the laws of Ireland. The parties hereby submit to the exclusive jurisdiction of the Irish courts. The parties each irrevocably waive any right to object to proceedings being brought in that jurisdiction or to claim that the proceedings have been brought in an inappropriate forum.
